Vida Healing LLC (“Vida Healing", "Vida Healing Team", “us”, “our” or “we”) provides this web site to you under the following terms and conditions (“Terms of Use”). Our Privacy Policy, which explains how we collect and use information from visitors to our web site (“Visitors”), is incorporated into this website via a separate page titled "Privacy Policy" and be accessed via clicking the link labeled "Privacy Policy" attached to the footnote of this website.  By using our website (“Site”) or submitting any information to us, you consent to and agree to be bound by these Terms of Use and our Privacy Policy.

We grant you a limited, non-exclusive, non-transferable license to view, print and distribute content on the Site for personal, non-commercial purposes.  We grant the operators of public search engines a limited, non-exclusive, non-transferrable license to copy materials from the Site for the purpose of creating publicly available, searchable indices of Site content. 

We reserve the right to terminate or limit your access to the Site and/or the licenses granted herein for any reason and in our sole discretion.  You agree not to modify, damage, disrupt, disable, overburden, impair, alter, or interfere with the use, features, functions, operation, security or maintenance of the Site or the rights or use and enjoyment of the Site by any other person or entity in any manner. 

You are prohibited from transmitting any material on or through the Site that, in our sole opinion, is or could be offensive, fraudulent, unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic or profane, or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.  We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any such information or materials on the Site.

To make a purchase, you must provide a valid payment method. FULL payment of desired products, services, and/or packages is due at the time of purchase.

We may apply taxes, to any charges. Prices and other terms of purchase are subject to change. If a Producer provides you access to products, services, and/or packages on a free basis, such access will be deemed a “purchase” for the purpose of this Agreement.

ALL PURCHASES, INCLUDING RECURRING CHARGES, ARE FINAL AND NON-REFUNDABLE.

 

Services & Packages:

The listed products, services, and packages and the descriptions of those products, services, and packages on Vida Healing’s Website are subject to change at the discretion of Vida Healing LLC.

The products, services, and/or packages you receive from Vida Healing LLC will be based on the written description of those products, services, and/or packages on Vida Healing’s website.

 

Acceptable Use Policy: 

In using Vida Healings Services, you will not:

  • Scrape, reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble any Vida Healing Service or any source code therein;

  • Attempt to circumvent any technical measures (including digital rights management) that we may employ;

  • Take any measures to interfere with or damage the Vida Healing Website

  • Use the Vida Healing Website to transmit tortious, unlawful, infringing, and otherwise objectionable content;

  • Collect personal information about Producers or other Vida Healing Website users;

  • Engage in any commercial activities except as permitted by us; or

  • Engage in any illegal activities.

 

No Representations or Warranties: 

Information provided on the Site may not be complete or accurate.  We do not endorse or represent the reliability or accuracy of any content or information distributed through or accessed from the Site, and shall not be liable for any decisions Visitors make based upon such information.  You agree that any reliance upon any content or information distributed through or accessed from the Site is at your sole risk.  We assume no liability or responsibility for any errors or omissions in the content of the Site.

We have not fully reviewed all of the links provided on the Site and are not responsible for the content of any off-Site pages.  Clicking on hyperlinks and visiting any off-Site pages is done at your own risk.

vi.    A statement that the information in the notification is accurate and, under penalty of perjury, the Complaining Party or such person authorized to act on behalf of the Complaining Party is the owner of an exclusive copyright that is allegedly infringed.

Please note that this procedure is exclusively for notifying us that your copyrighted material has been infringed. The preceding requirements are intended to comply with our rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws.

 

Intellectual Property:

 All of the patents, trademarks, logos, trade names, rights in domain names, copyrights, moral rights, design rights, database rights, rights in undisclosed or confidential information (such as know-how, trade secrets and inventions (whether or not patentable) and other similar intellectual property rights (whether registered or not) and applications for such rights as may exist anywhere in the world (collectively, "Intellectual Property Rights") on the Site and the material published on and through it (except the Contributed Content) are owned by Vida Healing LLC, its licensors and other providers of such material and are protected by Applicable Laws. You may not engage in any activity that infringes or otherwise makes unauthorized use of another party’s Intellectual Property Rights.

You are advised that we will aggressively enforce our intellectual property rights to the fullest extent of the law.

All content and images on the Site are either the property of, or used with permission by us.  All content and images on the Site are copyrighted unless otherwise noted and may not be used except as provided in these Terms of Use or in the text on the Site without our written permission.  We neither warrant nor represent that your use of materials displayed on the Site will not infringe the rights of third parties not owned or affiliated with us.

 

Change or Termination:

We may, without prior notice, change the Site, stop providing the Site, or services, or create usage limits for the Site. We may permanently or temporarily terminate or suspend your access to the Site without notice or liability, for any reason or for no reason, including if in our sole determination that you violate any provision of these Terms of Use. Upon termination of these Terms of Use or your access to the Site for any reason or no reason, you will continue to be bound by these Terms of Use which, by their nature, should survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

Disclaimer of Liability:

Your use and browsing in the Site are at your own risk.  Neither we nor any other party involved in creating, producing, or delivering the Site shall be liable for any direct, incidental, consequential, indirect or punitive damages arising out of your access to, or use of, the Site.  Without limiting the foregoing, everything on the Site is provided to you “as is” without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.  Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.  Check your local laws for any restrictions or limitations regarding the exclusion of implied warranties.

 

We reserve the right to remove any content from the Site or to restrict access to the Site for any reason without notice.

 

Jurisdiction:

We make no representation that the Site is operated in accordance with the laws or regulations of, or governed by, nations other than those of the United States of America.  If you are located outside of the United States of America, you use this Site at your own risk and initiative and you, not us, are responsible for compliance with any applicable local and national laws. 

 

Binding Arbitration And Governing Law: 

Binding Arbitration with Vida Healing LLC

You and Vida Healing LLC agree that any dispute between you and Vida Healing LLC arising out of or relating to this Agreement or your use of the Vida Healing Website and/or associated links shall be referred to United States Arbitration & Mediation for arbitration in accordance with the United States Arbitration & Mediation Rules of Arbitration. The arbitrator’s decision shall be final and binding and judgment may be entered thereon. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other party is entitled to the costs of suit including a reasonable attorney’s fee for having to compel arbitration or defend or enforce the award.

By agreeing to arbitrate your claims against Vida Healing LLC, (i) YOU GIVE UP YOUR RIGHT TO GO TO COURT AND HAVE YOUR CLAIMS TRIED BY A JUDGE OR JURY (except for matters that may be taken to small-claims court); and (ii) YOU GIVE UP YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER CLASS PROCEEDING.

 

Court Proceedings:

Any proceeding to enforce this arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award, must be commenced within the jurisdiction of the state courts of New Jersey, United States of America.

 

PREGNANCY, INJURY & PRE-EXISTING HEALTH CONDITION ADDENDUM:

These provisions apply when you participate in any of Vida Healing LLC’s online or in-person services while pregnant, in post-pregnancy or if you have a pre-existing health condition of any kind (known or unknown). If you do not agree to these provisions, you must not participate in the services, programs, products, and services offered by Vida Healing LLC.

 

When participating in any of Vida Healing’s services, you represent, warrant and acknowledge the following:

(a) you are participating in Vida Healing’s services entirely at your own risk, and acknowledge that if you make any modifications to the services while participating or if you undertake (while pregnant, post-pregnancy, post-injury or with a pre-existing health condition) any Vida Healing services, you also do so entirely at your own risk. In addition, you understand that, in participating in Vida Healing’s Services, there is (amongst other potential health risks), a risk of seizures, fainting, organ prolapse, back pain, bladder leakage, poor C-section scar healing, and the rate of reduction of diastasis recti (abdomen separation post birth). You acknowledge that these matters can all be affected by the pace, frequency and nature of the exercise that you engage in your current state (including post pregnancy or post injury) and that you need to use caution and seek professional health advice if you are at all unsure about your health or fitness to continue, or health concerns arise after, you have undertaken any Vida Healing’s Services

 

(b) You have obtained and relied on the medical clearance of your doctor, physician, obstetrician or other medical professional in determining to participate (and once commenced, to continue participating in) Vida Healing's services.


(c) Vida Healing makes no representation or warranty that any particular Breathwork,  fitness, nutrition or health program is suitable, safe or adequate for any particular User. Accordingly, Vida Healing is not aware of and cannot determine your individual suitability for our services. To the maximum extent permitted by Applicable Laws, you will indemnify Vida Healing and the Associated Parties and hold them harmless against all claims, demands, lawsuits, actions, proceedings, investigations, liabilities, damages, losses, costs or expenses including reasonable attorneys' fees, in any way arising out of, in relation to or in connection with directly or indirectly to:


(i) your participation in Vida Healing’s services; or
(ii) your breach of any of the provisions of the services and terms of use;
 

(d)
any information provided by you to Vida Healing  in connection with the services we offer, including the fact that you have received medical clearance to participate in Vida Healing’s services, is true, and you further acknowledge that Vida Healing has relied on this representation in assuming that you can participate safely in Vida Healing's services

 

(e)
you know that you need to stop breathwork and exercising and seek medical advice if at any time during or after having undertaken any breathwork or exercise as part of the services, you feel generally unwell or experience pain or discomfort, lower back or abdomen pain, excessive dizziness, fainting, seizures, or any other form of pain or symptoms (including without limitation any symptoms that your doctor, physician, obstetrician or other medical professional advised you of prior to engaging in Vida Healing’s services or at any time thereafter).

 

Miscellaneous:

Except as expressly provided in these Terms of Use, there shall be no third-party beneficiaries to the Terms of Use.  We shall have the right to assign our rights or delegate any of our responsibilities under these Terms of Use to an affiliate or in connection with our merger, consolidation or reorganization for the sale of substantially all of our assets.

These Terms of Use contain the entire understanding between you and us relating to the Site and our services.  These Terms of Use supersede any other Terms of Use or agreement regarding the Site and our services prior to the Effective Date below.
